Multi-state Corporation is seeking a Corporate Legal Counsel for their Los Angeles and Chicago locations.

| Responsibilities: |
|
|
The Corporate Legal Counsel must have the following Skills and/or Experience:
Must be able to make decisions.
Work well with people at all levels both within and outside the organization, be a team player, and be very service oriented.
8-12 years of combined experience both in a law firm and as in-house counsel with a minimum of 3-5 in corporate law department positions of increasing responsibility.
Licensed in either California or Illinois.
As this position will have supervisory responsibility for other attorneys, successful candidates will have demonstrated the ability to coach and lead others effectively in previous positions.
Will require frequent interaction with senior organizational leaders, thus, candidates must possess strong interpersonal, communication and influence skills, as well as sound business acumen and results orientation.
The Corporate Legal Counsel will have the following responsibilities:
Duties include providing advice to all corporate entities in the surrounding area
Overseeing corporate regulatory controls, assisting in maintaining corporate licenses
Mergers & Acquisitions:
Demonstrated leadership in negotiating and managing private, public and international transactions
High level analytical, negotiating and drafting skills required.
Securities/SEC Reporting:
Responsibility for substantive legal review and approval of '34 Act documents as well as other investor relations matters, including earnings releases and conference call scripts
Developed securities law expertise relating to public offerings and capital structure issues
Executive Compensation/Benefits:
Responsibility for oversight of executive compensation and benefits practice area; highly collaborative interaction with HR team.
International:
Experience in international legal practice a plus, but not necessary.
